4. Engagement and Scope

Our engagement is limited to the specific matter and scope described in our engagement letter. We are not responsible for matters outside this agreed scope unless we explicitly accept additional instructions in writing.
4.3 Right to Decline
We reserve the right to decline representation or discontinue services if conflicts of interest arise, if the matter falls outside our expertise, or for other professional reasons.
5. Client Responsibilities
As our client, you agree to:

- Respond to our requests for information or documentation in a timely manner
- Inform us promptly of any changes that may affect our services
- Follow our advice and recommendations, or inform us if you choose a different course of action
- Pay fees and expenses as agreed

6. Fees and Payment
6.1 Fee Structure
Our fees are based on the services provided and will be communicated to you before we begin work. Fees may be calculated as fixed fees, hourly rates, or other arrangements as agreed in writing.
6.2 Payment Terms
Payment is due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges. We reserve the right to suspend services if accounts become overdue.
6.3 Expenses
You are responsible for reasonable expenses incurred in connection with your matter, including filing fees, courier costs, and other disbursements. Significant expenses will be discussed with you in advance.
6.4 Currency
All fees are quoted and payable in Hong Kong Dollars (HKD) unless otherwise agreed.
7. Confidentiality
We maintain strict confidentiality regarding all information you provide to us. This obligation is governed by professional conduct rules and continues indefinitely, even after our engagement concludes.
We may disclose confidential information only:
- With your explicit consent
- When required by law or court order
- To prevent serious harm or illegal activity
- As necessary to provide the services you have requested
- To professional advisors bound by similar confidentiality obligations
8. Intellectual Property
8.1 Work Product
Documents prepared specifically for you as part of our services become your property upon full payment of fees. However, we retain the right to use general forms, precedents, and methodologies developed by our firm.
8.2 Our Materials
All materials on our website and our proprietary methodologies remain our intellectual property. You may not reproduce, distribute, or create derivative works without our written permission.
9. Disclaimers and Limitations
9.1 No Guarantees
While we strive to provide high-quality services, we cannot and do not make representations or warranties about specific outcomes. Legal matters involve inherent uncertainties, and results cannot be predicted with certainty.
9.2 Professional Judgment

To the extent permitted by law, our liability is limited to the fees paid for the specific services giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.
10. Termination

You may terminate our services at any time by written notice. You remain responsible for fees and expenses incurred up to the termination date.

We may terminate our services if professional obligations require it, if fees remain unpaid, or if circumstances make it unreasonably difficult to continue representation. We will provide reasonable notice where possible.
10.3 Effects of Termination
Upon termination, we will provide you with your files and documents. You remain responsible for all outstanding fees and expenses. Our confidentiality obligations continue after termination.
11. Dispute Resolution

These Terms and Conditions are governed by the laws of Hong Kong. Any disputes will be subject to the exclusive jurisdiction of the Hong Kong courts.
